By accessing or using supa.place, users agree to be bound by these terms of service and any referenced policies. If users do not agree, continued use of the platform is not permitted.

Platform Role and Service Scope
Supa.place operates as a marketplace agent that connects buyers with independent sellers of digital products. Sellers are the supplier of record for the products they list, and the contract for the sale of any product is formed directly between the buyer and the seller. Supa.place provides the platform, listing infrastructure, payment collection on behalf of sellers, delivery of digital files to buyers, and dispute mediation. Each seller is solely responsible for their own tax obligations arising from sales of their products.
Seller Appointment and Product Rights
Sellers appoint supa.place as their limited agent to list their digital products, collect payment from buyers on their behalf, and deliver those products to buyers worldwide. Supa.place reserves sole discretion to determine product eligibility and safety, and may refuse or remove ineligible listings at any time. As a seller, you agree to provide accurate information about yourself and your products. You are solely responsible for the content you upload and must ensure it complies with our Seller Guidelines.
Intellectual Property
You retain all ownership rights to the content you upload. However, by selling on supa.place, you grant us a worldwide, non-exclusive, royalty-free license to display, market, and sell your digital products through our platform.
Pricing and Transaction Fees
Sellers determine the price of their products, subject to any minimum or maximum thresholds set by supa.place. For each transaction, a platform fee is deducted from the sale price, and sellers receive the remaining earnings. All payments are processed through Airwallex. By selling on our platform, you agree to our Fee Disclosure and Airwallex's terms. Payouts will be made according to the schedule you select in your dashboard, after the deduction of applicable fees.
Refunds
Each seller sets the refund policy for their own products and is responsible for honouring it. Sellers must publish their refund policy on each product listing, and buyers should review it before purchase. Supa.place processes approved refunds through Airwallex on the seller's behalf and may mediate disputes between buyers and sellers under our Seller Guidelines. Statutory consumer guarantees that apply to a buyer under their local law (including, where applicable, the Australian Consumer Law) are not excluded by these terms or by any seller's refund policy.

Prohibited Conduct and Products
Users must not engage in illegal activity, fraud, spamming, harassment, copyright infringement, or list prohibited items on the platform. This includes offering regulated financial products, securities, investment schemes, or personalised financial advice without holding the licences required in the relevant jurisdiction. Violations may result in product or account suspension, archiving, or termination.
Adherence to Seller Guidelines
Sellers must comply with all marketplace Seller Guidelines, which form part of these terms.
Platform Moderation and Enforcement
Supa.place reserves the right to remove or suspend any user account or product which does not comply with these terms or platform guidelines.

Products are supplied by independent third-party sellers, not by supa.place. We do not author, control, or guarantee seller files are free of harmful components. You download and use seller files at your own risk and are responsible for your own security. If you have concerns about a product, you can report it.

Limitation of Liability
Supa.place is not liable for any direct, indirect, incidental or consequential damage resulting from the use of service. The service is provided “as is” and “as available,” with all rights reserved to supa.place. Nothing in these terms excludes, restricts or modifies any guarantee, right or remedy under the Australian Consumer Law or any other law that cannot lawfully be excluded; where permitted, our liability is limited to resupply or the cost of resupply.
Privacy Policy
All users with an account must agree with the Privacy Policy, which forms part of these terms.
Updates to Terms and Policies
Supa.place may update these terms, seller guidelines, pricing, and platform policies at any time. Continued use of the platform following updates indicates acceptance of the revised terms.
